TITLE</h2> <div id="messages"> </div> <div id="instructions"> The name of the foundation shall be The Norm Kulig 2Young2Go Foundation, hereafter referred to as "2Young2Go". </div> <h2>II. OBJECTIVE</h2> <div id="instructions"> 2Young2Go is a non-profit 501(c)(3) entity organized exclusively for charitable, educational and scientific purposes. The prime objective of 2Young2Go shall be to increase the awareness of environmental related causes of cancer, further the scientific research of such cancers and to promote the environmental cleanup of areas contaminated by such cancer causing substances. In furtherance of the above-referenced objective, 2Young2Go may hold events, conferences, lectures, community activities or educational activities. 2Young2Go may print and publish books, magazines and newsletters; present awards; and perform all related activities that may be conducive to increasing awareness, promoting/furthering research, preventing exposure and protecting the environment from cancer causing substances. </div> <h2>III. AFFILIATION</h2> <div id="instructions"> 2Young2Go is an independent, non-profit organization that is not affiliated with any other specific organization and has no binding obligation to any other nonprofit organization. </div> <h2>IV. MEMBERSHIP</h2> <div id="instructions"> 2Young2Go shall have no members other than the persons elected or appointed as members of the Board of Directors (“Board”), who shall be considered to be the members of 2Young2Go for the purpose of any statutory provision or rule of law relating to members of a non-stock nonprofit corporation. Associates The Board of Directors may provide for the creation and recognition of associates of 2Young2Go to be known as 2Young2Go Associates in its discretion. Such Foundation associates will have no authority to act for, on behalf or incur any liability against 2Young2Go and will have no vote in 2Young2Go’s corporate affairs. </div> <h2>V. MANAGEMENT OR GOVERNMENT</h2> <div id="instructions"> <p>The management of 2Young2Go shall be vested in a Board of Directors. The number of directors consisting of the entire Board shall be a minimum of five (5), and a maximum of nine (9). 2 Young2Go executive officers, consisting of a president, vice president, secretary and treasurer, shall, at all times be a member of the Board. Subject to the foregoing, the number of directors may be determined from time to time by action of the voting members of the board as determined necessary to best fulfill the objective of the 2Young2Go foundation. Any action to affect an increase or decrease of the number of board members shall require a vote of at least two-thirds of all directors then in office. No decrease in the number of directors shall shorten the term of any director then in office. The directors shall serve without compensation except for reasonable expenses incurred for the 2Young2Go foundation. Each director shall be at least 18 years of age.</p> <h3>A. Duties of officers:</h3> <ul class="fastMenuLevel1Ul"> <li class="fastMenuLevel1ArrowDown"> President – <div>The president shall be the chief executive and operating officer of the 2Young2Go foundation and subject to the direction and under the supervision of the Board, and have general charge of the business affairs and property of the 2Young2Go foundation. The president will preside over meetings, represent 2Young2Go to the community and sponsorships, call any special meetings, and to appoint committees and chairpersons thereof.</div> </li> <li class="fastMenuLevel1ArrowDown"> Vice-President – <div>The vice president will assume all the powers and all of the restrictions of the president in his/her absence, and to take on special assignments as requested by the president.</div> </li> <li class="fastMenuLevel1ArrowDown"> Secretary – <div>The secretary will record minutes at meetings, to keep a file of such minutes, and, when requested by the president, to accept assignments involving correspondence and the keeping of records. </div> </li> <li class="fastMenuLevel1ArrowDown"> Treasurer – <div>The treasurer shall administer all financial matters and to have authority to sign or disburse necessary appropriations, as directed. The treasurer will keep full and accurate accounts of all receipts and disbursements of the 2Young2Go foundation as ordered by the president or the Board and prepare all statements and reports required by law, by the president or by the Board.</div> </li> </ul> <h3>;B. Eligibility:</h3> <p>Officers may be elected to succeed themselves.</p> <h3>C. Term of office</h3> <ul class="fastMenuLevel1Ul"> <li class="fastMenuLevel1ArrowDown"> <div>1. Term of office shall be two (2) years, beginning on the calendar year, unless terminated by death, incapacity, resignation or removal.</div> </li> <li class="fastMenuLevel1ArrowDown"> <div>2. Offices filled upon resignation shall also expire at the time of the first meeting of the calendar year.</div> </li> </ul> <h3>D. Elections</h3> <p>Officers shall be elected by a majority vote of those present at the meeting. The Board may select a committee to evaluate and compile a list of eligible nominees as directors for the ensuing term. Said list shall contain the names of at least one eligible nominee to each vacancy. If the board fails, for any reason, to select a committee within the time specified then the president shall have the power to appoint such a committee. Nominations made by the committee for directors must be delivered to the secretary at least (60) days prior to the date of the annual meeting of the voting members.</p> <h3>E. Procedural requirements</h3> <ul class="fastMenuLevel1Ul"> <li class="fastMenuLevel1ArrowDown"> <div>1. Parliamentary procedures will be carried on at meetings, and every effort will be made to discuss any measures coming before the group.</div> </li> <li class="fastMenuLevel1ArrowDown"> <div>2. A majority vote of the members present is necessary to pass ordinary measures. All measures shall be deemed ordinary except those proposing a constitutional amendment.</div> </li> <li class="fastMenuLevel1ArrowDown"> <div>3. A quorum shall consist of two thirds the number of elected directors . No official meeting shall be held unless a quorum is present. To be considered present the director must be either in physical attendance or be present by way of a phone conference or similar communications equipment by means of which all persons participating in the meeting can hear each other.</div> </li> <li class="fastMenuLevel1ArrowDown"> <div>4. Bylaws amendment</div> </li> <ul class="fastMenuLevel2Ul"> <li class="fastMenuLevel2"> <div> a. A bylaw amendment may be accomplished by 2/3 vote of the members present at the meeting.</div> </li> <li class="fastMenuLevel2"> <div>b. All members must be notified at least 7 days prior to voting that bylaw amendments will be discussed and voted on.</div> </li> </ul> <li class="fastMenuLevel1ArrowDown"> <div>5. Meetings will normally be held annually except in the quarter in which an event is planned. In such a case meetings may be held on a monthly basis or more frequently if called by the president.</div> </li> </ul> </div> <h2>VI. FINANCES</h2> <div id="instructions"> <p>A. Dues shall not be collected by the foundation.</p> <p>B. As a non-profit organization monetary income from entry fees, donations, sponsorships, sale of goods and other monies received by 2Young2Go will be spent for carrying out the stated purpose of 2Young2Go or donated to other nonprofit organizations, approved by the board, whose stated mission and purpose is aligned with the 2Young2Go foundation.</p> <p>C. No part of the net earnings of 2Young2Go shall inure to the benefit of its individuals.</p> <p>D. 2Young2Go shall be empowered to participate in fund-raising activities.</p> <p>E. The Board will operate on a volunteer basis and will not be eligible to receive compensation. They may be reimbursed for valid expenses related to the operation of 2Young2Go or the operation/production of one of its events. </p> <p>F. Any future compensation, to employee or independent contractor, as deemed necessary to further the cause of 2Young2Go must be approved by the board and be consistent with the stated conflict of interest policy.</p> <p>G. No director or officer of the 2Young2Go foundation shall be personally liable to its creditors or for any indebtedness or liability and any and all creditors shall look only to the 2Young2Go assets for payment. Further, neither any officer, the Board nor any of its individual members shall be liable for acts, neglects or defaults of an employee, agent or representative selected with reasonable care nor for anything the same may do or refrain from doing in good faith including errors in judgment, acts committed on advice of counsel or any mistakes of fact or law.</p> </div> <h2>VII. DISSOLUTION</h2> <div id="instructions"> In the event of dissolution of 2Young2Go, the funds in the treasury, after all creditors have been paid, shall be distributed to MARF (Mesothelioma Applied Research Foundation) as long as they remain 501(c)(3) exempt at the time of dissolution or other exempt 501(c)(3) non-profit organizations as per the meaning of the Internal Revenue Code or any corresponding section of any future federal tax code and in conjunction with the 2Young2Go stated objective . </div> <h2>VIII. ADOPTION</h2> <div id="instructions"> These Bylaws, Rules and Regulations became effective immediately upon adoption by the Board.
